Regulations of Clausewitz Society of Japan

Chapter 1. General Provisions

(Name)
Article 1.

  1. The name of the Society is called NIPPON CLAUSEWITZ GAKKAI.
  2. The German name of the Society is Clausewitz Gessellschaft Japan and in English Clausewitz Society of Japan.

(Purposes)
Article 2.

The purposes of the Society are to honor the academic contributions of Carl von Clausewitz (Karl von Clausewitz), as well as to develop studies on Clausewitz in Japan and to promote communication and friendship among the members of the Society.

(Secretariat)
Article 3.

  1. In principle, the secretariat of the Society shall be located in Tokyo.
  2. The Secretariat shall be constituted one Director -General and some numbers of staff.

Chapter 2. Membership

(Regular Members)
Article 4

  1. The Regular Members of the Society shall be those who support the purposes set forth in Article 2, and have been approved by the Board of Directors.
  2. Regular Member shall pay the membership fee prescribed by the General Assembly.
  3. Regular Member may withdraw from the Society by notifying the President of his /her wish.
  4. Any Regular Member whose annual membership fee is left unpaid may be deemed to have notified his/her withdrawal from the Society.
  5. In order to promote the purposes of this Society, any Regular Members who take activities such as writing, publishing, contributing, being the chief editor of compilation, making public presentation of any articles, books, or works related to Clausewitz shall be expected to note or specify his/her membership/directorship of the Society.
  6. Any Regular Members who disgrace the Society, or take actions in conflict with the
    purposes of the Society. shall be expelled by the President with the consent of Board of Directors.
  7. Any change of address or other personal notifications shall be noticed without delay to the President (c/o the Director General of the Society.

(Supporting Members)
Article 5

  1. In addition to the Regular Members, the Society may accept Supporting Members.
  2. The Supporting Members, individuals, groups, or bodies, who wish to support the activities of the Society shall consent to the purposes set forth in Article 2 and shall be approved by the Board of Directors.
  3. Supporting Members shall pay the membership fee prescribed by the Board of Directors.
  4. Any Supporting Member may leave the Society with the pre]notice to the President.
  5. Any change of a Supporting Member's address or other personal notifications shall be@
    noticed without delay to the President (c/o the Director General of the Society)

(Honorary Members)
Article 6.

  1. The Society may nominate Honorary Members under the approval of the Board of Directors.
  2. The Board of Directors shall be entitled to those who have made the distinguished contribution to the development of the Society, or to the foreign researchers with academic achievements on Clauzewitz.
  3. The Honorary Members shall not required to pay membership fees.

Chapter 3. Activities

(Activities)
Article 7.

To achieve the purposes set forth in Article 2, the Society shall conduct the following
activities.
(1) Monthly Meeting for Research and Studies.
(2) Issue of Journals and Bulletins
(3) Revision and Publication of new translation of "On War"
(4) Interchange with other organizations both in Japan and overseas who share the same purposes as the Society.
(5) Open seminars
(6) Study Tours
(7) New Year meeting
(8) Other activities required to achieve the purposes of the Society

Chapter 4 Directors

(Directors)
Article 8

  1. The following number of Directorship. can be appointed for the Society.
    One(1) President
    One(1) Vice President
    Several Directors
    One(1) Auditor
  2. The Society can be presided by an Honorary President by the resolution of the Board of Directors and General Meeting. The Honorary President shall be a member of the Board of Directors.

(Duties and Responsibilities of Directors)
Article 9

  1. The president shall represent the Society and oversee the activities of the Society.
  2. The Vice President shall assist the President, and act on behalf of the President at his /her absence.
  3. The Directors shall carry out the activities of the Society.
  4. The Auditor shall audit the account report of the Society.

(Election of Directors)
Article 10

  1. The President shall be elected by vote among the members at the General Meeting.
  2. The Vice President and the Directors shall be nominated by the President.
  3. The Directors shall be designated, in principle, among those who have shown remarkable achievements, in the light of the purposes of the Society, which include the presentation/publication of their researches at the monthly meeting and/or in the Journals of the Society.
  4. Notwithstanding the previous provision, the Director-General of the Secretariat may also serve as a Director of the Society.
  5. The Auditor shall be elected by vote among the members at the General Meeting.

(Term of Office for Directors)
Article 11.

The term of office of Directors shall be expired one(1)year after their assumption of
office. However, re-assumption of the Directors shall not be prevented.

Chapter 5. Meetings

(Meetings)
Article 12

The activities of the society shall be shall be under the direction of the General Meeting
and the Board of Directors.

(General Meeting of the members)
Article 13

  1. The General Meetings shall be constituted by all members of the Society, and following matters shall be determined by resolution of a General Meeting.
    (1) Revision of this Regulation and Membership Fee of the Society.
    (2) Approval of Budgets and Account Reports.
    (3) Establishment of Activity Plans
    (4) Approval of Activity Reports
    (5) Election of the President
    (6) Other important matters.
  2. The General Meeting of the members shall constitute the Ordinary General Meeting and Extraordinary General Meeting. The Ordinary General meeting shall be called once a year, and held in April as a general rule. The Extraordinary General Meeting may be convened at any time whenever the President deems it necessary.
  3. In convening the General Meeting, notice thereof shall be given to the members, the date, place, and proposed agenda, at least seven (7) days prior to the date of the meeting.
  4. The President shall act as chairman of the Meeting.
  5. Resolutions at the General Meeting of Members shall be made by a majority of the votes of Members present.

(Board of Directors)
Article 14.

  1. The Board of Directors shall constitute the President, Vice President, and Directors, and be responsible for the management and operations of the Society.
  2. The president may convene a meeting of the Board of Directors, at any time whenever necessary, to discuss and decide pressing agenda in performing the activities of the Society and other important subjects except those items to be decided at the General Meeting .
  3. A majority of Directors shall constitute a quorum of the meeting of Board of Directors,
    and decisions shall be made by a majority of the votes of Directors present.
  4. When necessary, the President may call a person to attend the meeting for hearing the opinion relating to the discussing subject.

Chapter 6. Accounting

(Accounting)
Article 15

  1. The activities and the financial year of the society shall start on every April 1, and on March 31 of the following year.
  2. The expenses required for running the Society shall be covered by the membership fee and donations.
  3. The Secretariat shall keep account books for the purpose of making fair and appropriate book keeping.
  4. The Director-General of the Secretariat shall prepare the account report to submit with account book to the Auditor by at least one week before the date of the General Meeting.
  5. Upon receiving the account report, the Auditor shall audit it without delay, and report his/her opinion to the General Meeting.

Chapter 7 Others

(Advisor)
Article 16

The Society may appoint the Adviser, pursuant to the resolution of General Meeting.

( Detailed Rules on Monthly Meetings)
Article 17

" Detailed Rules on Monthly Meeting" shall be provided separately to ensure smooth operation of the meetings.

Chapter 8 Appendix
(Effective Date)

Article 18

  1. These regulations shall take effect as from April 28,1987.
  2. The amendments of the regulations shall take effect as from April 21,1999.
  3. The amendments of the regulations shall take effect as from April 26,2006.
